1. A license, not a sale
Abby Video LLC grants you a limited, non-exclusive, non-transferable, revocable license to install and use the abby. on one Mac: the Mac you first activate your license code on, for the license period you bought or the free trial. The software is licensed, not sold. Abby Video LLC keeps all rights not expressly granted.
2. Activation and Mac ID
Your license code is issued only after your payment has been processed. Activating it (online once, or through abbyvideo.com/activate from another device) locks it to that Mac. After that the license is checked on the Mac itself, without the internet.
When a license period ends, recording stops until a new key is added. Watching, playback and existing media stay available.
3. Free trial
A trial license lets you evaluate the software for the trial period. Everything in this agreement applies to the trial, including the disclaimers and limits of liability.
4. Beta and pre-release versions
We may offer beta, pre-release, preview or TestFlight versions. They may be unfinished, change without notice, contain more bugs, lose data or stop working, and we may end them at any time. Don't rely on a pre-release version for a paid job. Pre-release versions are covered by these terms, are provided strictly "as is", and are confidential until we release them publicly.
5. What you may not do
- Share, publish, sell or transfer a license key, or use one key on more than one Mac.
- Bypass, disable or interfere with license checks or other protections.
- Reverse engineer, decompile or disassemble the software, except where the law expressly allows it despite this restriction.
- Copy, modify or make derivative works of the software, except for one backup copy of the installer.
- Rent, lease or lend the software itself, separate from your own services.
- Use the software to break the law or anyone's rights. See the Acceptable Use Policy.
6. Recording, audio and consent
You are responsible for consent. The operator and the production must make sure everyone who is filmed, photographed or recorded, and everyone whose voice is picked up, has given whatever consent or release the law, the production and any union or guild rules require.
Some places, including California, Pennsylvania, Florida, Washington, Maryland, Massachusetts, Illinois and others, require everyone's consent before a conversation is recorded or listened to. That can include set audio, a talk-back microphone and audio fed to client devices. Tell people when audio is live, and don't record or send private conversations.
Set rules, union and guild agreements, location releases, and rules on filming minors or in private places stay the responsibility of the operator and the production. Abby Video LLC doesn't check or enforce them.
7. Messages, notes and group chats
- You're responsible for what you send: messages, notes, reactions, take requests and talk-back.
- Not for emergencies. Messages can be delayed or not arrive. Don't use them for safety, medical or emergency communication. Use the set's radio or call emergency services.
- Messages and group chats delete themselves after 24 hours, on the set's Mac and on every device. Deletion can't stop someone taking a screenshot, photographing a screen or copying a message before it's gone.
- Group chats are encrypted on each device. Abby Video LLC can't read them, so we can't recover, moderate, review or hand over their contents.
- To report abuse, tell the set's video assist operator, who can remove a device at once. You can also email [email protected], but we can't see the messages.
8. Recording can fail. Keep backups.
Video assist depends on cameras, cables, capture hardware, drives, drivers, networks and computers we don't control. We do not guarantee that recording, playback, streaming, auto-roll or any other feature will work every time, or that every take will be captured or saved.
You are responsible for checking that takes are recorded and playable, for keeping backups, and for having a fallback on set. The abby. is not a substitute for the camera's own recording.
9. No liability for footage or production losses
To the fullest extent the law allows, Abby Video LLC is not liable for lost or corrupted footage or data, missed shots, reshoots, production delays, equipment damage, lost profits, or any indirect, incidental, special or consequential damages, arising from the software or its use or failure.
Our total liability under this agreement is limited to the license fee you paid for the license period in which the claim arose. If you used a free trial, our liability is zero, to the extent the law allows.
10. Provided as is
The software is provided "as is", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Some places don't allow excluding implied warranties, so some of this may not apply to you.
11. Updates
We may provide updates. An update may add, change or remove features. Updates are covered by this agreement unless they come with their own terms. We're not required to provide updates or support.
12. Your data
Your recordings, notes, chats and settings stay on your Mac and devices you control. We don't receive them. See the Privacy Policy and On-Set Content & Confidentiality.
13. Third-party software, including NDI®
The abby. includes third-party components, including the AJA NTV2 SDK (libajantv2), licensed under the MIT License, and the NDI® SDK libraries. Those components are covered by their own licenses, listed in full on our Third-Party Notices page and included with the software. Hardware drivers (such as AJA Desktop Software) come from their makers under their own terms. For the NDI® SDK, these terms also apply:
The abby. includes the NDI® software development kit libraries ("NDI SDK"), licensed to us by Vizrt NDI AB. NDI® is a registered trademark of Vizrt NDI AB. For more about NDI, visit ndi.video. The abby. is compatible with NDI®.
- You may not modify, reverse engineer, decompile, disassemble or recompile the NDI SDK, the NDI libraries or the NDI protocols, or get round their technical limits, except where the law expressly allows it despite this restriction.
- You may not remove or change any NDI copyright, trademark or other notice.
- Vizrt NDI AB, NDI, Inc. and their licensors provide the NDI SDK "as is", without any warranty, and are not liable for any damages arising from it. To the fullest extent the law allows, all warranties and liability on their behalf are disclaimed.
- You must follow all export and sanctions laws that apply to the NDI SDK, as set out in the Export rules section.
- NDI: Copyright © 2023-2026 Vizrt NDI AB. All rights reserved.
14. Export rules
You agree to follow all U.S. and other export control and sanctions laws that apply to the software. You may not use or export the software in or to any embargoed country, or for any person on a U.S. government restricted list. The software uses standard encryption.
15. Ending this license
This license ends automatically when your license period ends or if you break this agreement. When it ends, stop using the licensed features. Sections 5 to 10 and 13 to 16 survive.
16. Governing law
These terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law rules. Any dispute will be brought only in the state courts located in Gloucester County, New Jersey, or the United States District Court for the District of New Jersey, and you and Abby Video LLC agree to the personal jurisdiction of those courts. Nothing here limits any right you have under the consumer protection laws of the place you live that cannot be waived by contract.
This agreement works together with our Terms of Service.
